Terms of Use

Please read these terms carefully. By using Vorzep, you agree to be bound by them.

1. Acceptance of Terms

By accessing or using the Vorzep website (the "Service"), you agree to comply with and be legally bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a binding agreement between you and Vorzep Ltd. ("Vorzep", "we", "us", or "our").

We may modify these Terms at any time. Any changes will be effective immediately upon posting on this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

You must be at least 16 years old to use the Service. By using Vorzep, you represent and warrant that you meet this age requirement and that you have the capacity to enter into a legally binding agreement.

3. User Accounts

Certain features of the Service (such as contributing formulas, saving favourites, or posting in forums) may require you to create an account. When you register, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use or security breach. Vorzep reserves the right to suspend or terminate accounts that violate these Terms or that remain inactive for an extended period.

4. Intellectual Property Rights

All content on the Service – including but not limited to text, graphics, logos, icons, images, formulas, examples, and software – is the property of Vorzep or its content suppliers and is protected by UK and international copyright, trademark, and other intellectual property laws. The compilation and organisation of all content on the Service are the exclusive property of Vorzep.

You are granted a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Service for personal, educational, and non‑commercial purposes, provided that you do not:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, licence, create derivative works from, or sell any content without prior written consent from Vorzep.
  • Use any automated means (e.g., crawlers, scrapers) to harvest or extract content from the Service.
  • Remove or alter any copyright, trademark, or other proprietary notices.

You may reference or quote short excerpts from the Service for educational or scholarly purposes, provided you give appropriate credit to Vorzep and include a link back to the original source. For any other use, please contact us for permission.

5. User Contributions

Vorzep values community input. By submitting formulas, examples, corrections, or other content (“Contributions”) to the Service, you grant Vorzep a worldwide, royalty‑free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such Contributions in any medium. You retain ownership of your Contributions, but you give us the licence to incorporate them into the Service.

You represent and warrant that:

  • Your Contributions are original and do not infringe any third‑party intellectual property rights.
  • Your Contributions are accurate and based on verifiable sources.
  • Your Contributions do not contain defamatory, obscene, or unlawful material.

Vorzep reserves the right to review, edit, or remove any Contribution at its sole discretion, without notice, and without liability to you.

6. Prohibited Conduct

You agree not to use the Service for any unlawful or prohibited purpose. Specifically, you must not:

  • Violate any applicable laws, regulations, or third‑party rights.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the Service or servers, including but not limited to transmitting viruses, malware, or other harmful code.
  • Attempt to gain unauthorised access to any part of the Service or its related systems.
  • Use the Service to harass, abuse, or harm others.
  • Post or transmit any content that is defamatory, obscene, pornographic, or otherwise offensive.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission.

7. Disclaimer of Warranties

Vorzep provides the Service on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation or availability of the Service, or the accuracy, completeness, reliability, or currency of any content. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

We do not warrant that the Service will be uninterrupted, error‑free, secure, or free from viruses or other harmful components. You assume full responsibility for any damage to your computer system or loss of data that results from your use of the Service.

All content is provided for educational and informational purposes only. While we strive for accuracy, we do not guarantee that any formula, example, or explanation is error‑free, suitable for your specific application, or compliant with current regulations. You are solely responsible for verifying any information before relying on it. Use the content at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, Vorzep, its directors, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising from or relating to the Service exceed the amount you have paid to us (if any) in the past twelve months. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

You agree to indemnify, defend, and hold harmless Vorzep and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your infringement of any third‑party rights.

The Service may contain links to external websites or resources that are not owned or controlled by Vorzep. We provide these links for your convenience only and do not endorse or assume responsibility for the content, privacy policies, or practices of any third‑party sites. You access such sites at your own risk, and we encourage you to review their terms and privacy policies.

11. Termination

We may terminate or suspend your access to the Service, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnities, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of England and Wales. You agree that any claim or cause of action must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

14. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Vorzep.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vorzep regarding your use of the Service, superseding any prior agreements.
