In no event shall our total liability to you for all claims arising from or relating to the Service exceed the amount you have paid to us (if any) in the past twelve months. You agree to indemnify, defend, and hold harmless Vorzep and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your infringement of any third‑party rights.
10. Third‑Party Links
The Service may contain links to external websites or resources that are not owned or controlled by Vorzep. We provide these links for your convenience only and do not endorse or assume responsibility for the content, privacy policies, or practices of any third‑party sites. You access such sites at your own risk, and we encourage you to review their terms and privacy policies.
11. Termination
We may terminate or suspend your access to the Service, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnities, and limitations of liability.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of England and Wales. You agree that any claim or cause of action must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
14. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Vorzep.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vorzep regarding your use of the Service, superseding any prior agreements.
